PT Temas Tbk. (the Company) is conducting an Acquisition through the purchase of shares of PT TEMAS LOGISTICS ("TLog"), a limited liability company established under notarial deed No. 26 dated August 8, 2012, engaged in the business of wholesale trade, warehousing, and supporting transportation activities.

The share ownership of TLog prior to its acquisition by the Company was as follows: PT Temas Lestari owned 99.9% of the shares, and Mr. Sutikno Khusumo owned 0.1% of the shares. The entire 100% share ownership was transferred to PT TEMAS Tbk., with a shareholding of 99.9%, and PT TEMAS SHIPPING holding 0.1%. The transaction value of the shares conducted by the Company amounted to Rp. 10,089,900,000.

The acquisition carried out by the Company is an affiliated transaction. The affiliation relationship involves Ms. Faty Khusumo who serves as the President Director of PT Temas Tbk., and also holds a position as a Commissioner in Temas Logistics and Mr. Sutikno Khusumo who serves as a Commissioner in PT Temas Shipping also holds a position as a Director and Shareholder in Temas Logistics.

The transaction conducted complies with the provisions of OJK Regulation No. 42/POJK.04/2020 regarding affiliated transactions and conflicts of interest, and No. 17/POJK.04/2020 about material transactions and business changes, has undergone Stock Valuation and Fairness Opinion conducted by KJPP Edi Andesta & team in order to obtain the value of the share price to be transacted and the fairness of the share acquisition transaction, with a fair opinion, and not a material transaction.
